Legal & Compliance Counsel

We are seeking a highly experienced Legal professional with 7-10 years of expertise and full English proficiency to oversee all litigation, commercial contracts, and corporate governance activities within the Holding. 

RESPONSIBILITIES

• Execute and oversee all litigation, execution, and dispute resolution proceedings to ensure favorable outcomes for the Holding.
• Manage and coordinate relationships with external law firms, ensuring the efficiency and quality of outsourced legal services.
• Draft, review, and negotiate a wide range of complex commercial contracts and legal instruments.
• Handle corporate governance procedures, including the preparation of General Assembly documents, Board of Directors resolutions, and signature circulars.
• Monitor national and international legislative changes and ensure the implementation of compliance frameworks such as KVKK and corporate ethics policies.
• Provide actionable legal opinions and risk assessments on commercial, labor, and obligations law to support operational departments.
• Maintain and report on the status of ongoing legal cases, contract pipelines, and corporate records.

QUALIFICATIONS

• Bachelor’s degree in Law (LL.B.) and active membership in a Turkish Bar Association.
• 7-10 years of professional legal experience, with a background in both reputable law firms and in-house legal departments.
• Proven track record in litigation management, execution-bankruptcy proceedings, and dispute resolution.
• Professional fluency in English and Turkish, with the capacity to draft legal documents and conduct negotiations in both languages.
• Deep technical knowledge of the Turkish Commercial Code, Law of Obligations, Labor Law, and Enforcement and Bankruptcy Law.
• Strong ability to provide practical, business-oriented solutions for complex legal and operational challenges.
• High level of professional integrity, detail-orientation, and a disciplined approach to reporting.
• Excellent communication skills with the ability to manage diverse stakeholder expectations within a holding structure.
